TO NEGOTIATING YOUR FIRST TERM SHEET

Workshop I: Surviving Selection Day

This workshop will address the creation of a winning presentation, with a focus on presentation skills and content, including key drivers of a successful business strategy. Also included will be how applicants to the AVF can put their best foot forward when applying to the AVF and a review of common application mistakes.

Workshop II: Avoiding Early Stage Deal Killers

In this workshop, Blank Rome will present a hypothetical scenario for a start-up technology company. During break-out sessions with the audience, we will discuss potential deal killers that start-up companies face before getting to a term sheet, including issues relating to confidentiality, intellectual property, restrictive covenants, and equity issuances to employees.

Workshop III: Moderated Term Sheet Negotiation

A panel of 4-5 entrepreneurs and investors will engage in a mock negotiation of a term sheet contemplating the issuance of preferred equity by our hypothetical start-up technology company. This workshop will highlight issues relating to valuation, board representation, liquidation preference and participation and anti-dilution protection.
